Terms of Service
Summary
We don’t like small print either! But this is a business agreement, so we just need to set down a few terms and conditions in writing which are pretty standard – just to make sure everybody gets a fair deal !
We’ll always do our best to fulfil your needs and meet your expectations, but it’s important to have things written down so that we both know what’s what, who should do what and when, and what will happen if something goes wrong. In this contract you won’t find any complicated legal terms or long passages of unreadable text. We’ve no desire to trick you into signing something that you might later regret. What we do want is what’s best for both parties, now and in the future.
So in short
You, (“You”) are hiring us Urban Haze Ltd (“We or Us”) to:
- Design and develop a web site
- And/or other services specifically mentioned in this proposal
For the estimated total price of total as outlined in the pricing section of this proposal.
Of course it’s a little more complicated, but we’ll get to that.
What do both parties agree to?
You: You have the authority to enter into this contract on behalf of yourself, your company or your organisation. You’ll give us the assets and information we tell you we need to complete the project. You’ll do this when we ask and provide it in the formats we ask for. You’ll review our work, provide feedback and approval in a timely manner too. Deadlines work two ways, so you’ll also be bound by dates we set together. You also agree to stick to the payment schedule set out at the end of this contract.
Us: We have the experience and ability to do everything we’ve agreed with you and we’ll do it all in a professional and timely manner. We’ll endeavour to meet every deadline that’s set and on top of that we’ll maintain the confidentiality of everything you give us.
GETTING DOWN TO THE NITTY GRITTY
These are the Terms and Conditions of Service between Urban Haze Ltd and you

By agreeing to this proposal, you agree to the terms and conditions set down here:
Privacy
Your privacy is important to us, and we understand that sometimes you need to share confidential information with us to help us plan things and work together. We agree to keep this information confidential, not to deliberately disclose any confidential information such as passwords to any third party and to make best efforts to prevent any malicious attempts from third parties to access that information.
And we will keep this information only as long as we need it to work with you. (in other words, your business information and passwords are safe with us, we’re not going to deliberately tell anyone and we’ll do our very best to prevent anyone hacking in to steal that information)
Prices
Prices are valid for 30 days from the delivery date of the quotation unless otherwise stated
Fees (unless otherwise stated) would be due with an initial, non-refundable 50% on project startup and the remaining 50% when you agree to sign off and/or go-live (this ensures we keep pushing your project forwards and that you don’t have to pay the rest until you’re completely satisfied to go live)
Hosting and Care Plan fees commence once we’ve started using these features which is when we start building the wireframe.
Project Duration
Any indication given by Urban Haze Ltd of a project’s duration is to be considered by you to be an estimation. Urban Haze Ltd cannot be held responsible for any project over-runs, whatever the cause.
Payment Schedule, Duration & Cancellation
Payments are due on invoice date (unless otherwise stated) Failure to pay could result in suspension, removal of credit terms or even cancellation of your services. A late fee of 1% of invoice total or £5 (whichever is the greater) will be applied on the first day of each week past 30 days after invoice date.
Returned cheques will incur an additional fee of £50 per returned cheque.
We reserve the right to consider an account to be in default in the event of a returned cheque.
After 60 days of non-payment, the invoice would be passed to a collection agency who would also report the debt to creditors. (we know you’ll go into this agreement with the best intentions, but we do have to cover ourselves because this job is the only thing that’s keeping the roof over our heads!)
All contracts are for a minimum term of 12 months after go live (unless otherwise stated). You can cancel at any time after the initial 12 months with 30 days notice.

You may also cancel at any time between the starting of the project and you agreeing to go-live. However any costs incurred by Urban Haze Ltd, including the 50% setup fee, during that period would still be due for payment.

Our preferred method of payment is via BACS transfer and via Standing Order for recurring services. We can arrange a Direct Debit agreement through a trusted provider (GoCardless) if convenient for you. We also accept payments by cheque or cash. Other payment methods beyond these may incur additional costs and should be agreed up front. Invoices are usually delivered electronically via email, recurring invoices are automated If you require another invoice method (eg paper invoice) please let us know in advance.
Rights of Refusal
We will not include in our websites, designs or other work any text, images or other data which we deem to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities. We also reserve the right to refuse to include submitted material without giving reason. Any images and/or data that we do include in all good faith, and then find out that it contravenes these Terms and Conditions, the customer is obliged to allow us to remove the contravention without hindrance, or penalty. Urban Haze Ltd and its Partners are to be held in no way responsible for any such data being included.
Usage & Content
We will do our best to guide you but you are wholly responsible for the content and activities on your web site and other online services. For example, we would ask you please not to use copyrighted content without the express permission of the content owner.
By supplying text, images and other data to us for inclusion in your web, print or other projects created buy us, you declare that you hold the appropriate copyright and/or trademark permissions and grants permission for Urban Haze Ltd and our partners to use this material freely in the pursuit of the project. The ownership of such materials will remain with the customer, or rightful copyright or trademark owner.
Any artwork, images, or text supplied and/or designed by Urban Haze Ltd on behalf of the customer, will remain the property of Urban Haze Ltd and/or its suppliers, in which full copyright will be passed to the client upon receipt of full payment.
Should we, or the customer supply an image, text, audio clip or any other file for use in a website, multimedia presentation, print item, exhibition, advertisement or any other medium believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, you will agree to allow us to remove and/or replace the file.
You must not use any services provided by Urban Haze Ltd for any illegal, offensive or immoral activities – if you do so, you will be wholly responsible for your actions and your service may be suspended or even cancelled. (we don’t know what you’re going to use your email, web site and other tech stuff for, but you seem like really good people because we want to work with you! We know you won’t – but we do have to ask – please don’t do anything dodgy!)
Text Content
Unless agreed separately, we’re not responsible for inputting text or images into your content management system or creating every page on your website. We provide professional copywriting and editing services, so if you’d like us to create new content or input content for you, we can provide a separate estimate for that.
Graphics and photographs
You should supply graphic files in an editable, vector digital format. You should supply photographs in a high resolution digital format. If you choose to buy stock photographs, we can suggest stock libraries. If you’d like us to search for photographs for you, we can provide a separate estimate for that.
HTML and CSS Layout Templates
If the project includes HTML markup and CSS templates, we’ll develop these using valid HTML and CSS code.. The landscape of web browsers and devices changes regularly and our approach is to look forward, not back. With that in mind we will test all our markup and CSS in current versions of all major desktop browsers to ensure that we make the most from them. Users of older or less capable browsers or devices will experience a design that is appropriate to the capabilities of their software.
Browser testing
Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device.
We test our work in current versions of major desktop browsers including those made by Apple (Safari), Google (Chrome), Microsoft (Edge), Mozilla Firefox and Opera. We’ll also test to ensure that people who use Microsoft Internet Explorer 11 for Windows get an appropriate experience. We won’t test in other older browsers unless we agreed separately. If you need an enhanced design for an older browser, we can provide a separate estimate for that.
Mobile browser testing
Mobile browser testing Testing using popular smaller screen devices is essential in ensuring that a person’s experience of a design is appropriate to the capabilities of the device they’re using. We test our designs in:
iOS 9: Safari, Google Chrome Android: Google Chrome on Android Emulator
We won’t test in Blackberry, Opera Mini/Mobile, specific Android devices, Windows or other mobile browsers unless we agreed separately. If you need us to test using these, we can provide a separate estimate for that.
Credits
We love to show off our work, so we reserve the right to display all aspects of our creative work, including sketches, work-in-progress designs and the completed project on our portfolio and in articles on websites, in magazine articles and in books.
All websites produced by Urban Haze Ltd will include a small design note in the footer that they have been created by Urban Haze Ltd with a link to urbanhaze.com
you agree to allow Urban Haze Ltd and partners that provide work to place all work on their own websites for portfolio and demonstration purposes and to use any work in their own publicity unless otherwise agreed
The designs and content in this quotation are copyrighted to Urban Haze Ltd – they may not be reproduced, edited or shared in any way without written permission from Urban Haze Ltd
Meeting Cancellation Policy
We understand our clients are busy people and at times unexpected things can crop up.
And at times you may need to cancel or reschedule a meeting with us.
If you need to cancel a meeting, please get in touch to let us know as soon as you can via email or telephone or use the contact form on the website.
There may be a charge if you cancel with short notice or miss a paid meeting altogether.
Alterations
We don’t want to limit your ability to change your mind. The price at the beginning of this contract is based on the number of weeks that we estimate we’ll need to accomplish everything you’ve told us you want to achieve, but we’re happy to be flexible. If you want to change your mind or add anything new, that won’t be a problem as we’ll provide a separate estimate for those additional weeks.
You agree that changes required over and above the estimated work or required to be carried out after acceptance of the project scope will be liable to a separate charge.
You also agree that Urban Haze Ltd and its chosen partners hold no responsibility for any amendments made by themselves or any other third party, before or after work is published.
Photography and Videography Services
If you choose a photography or videography service, a license will be provided for your own organisation’s use. This allows for your own use the chosen images online through the site and services that we provide and have agreed with you in this document.
Additional usage beyond that (such as resale or allowing a third party to use the images) should be checked with the photographer/videographer first, either directly or via Urban Haze Ltd and may incur additional license costs.
The photographer/videographer retains copyright of all images and videos at all times.
Design Services
If you choose a design service, copyright of all graphic design work is retained by the designer including copy, concepts, ideas, proofs and illustrations (unless specifically released in writing) until after all invoices have been paid in full.
If multiple design concepts are submitted, only one concept is deemed to be given by us as fulfilling the contract. All other artwork designs remain the property of the designer, unless agreed in writing.
Charges for any additional services over and above the estimated design, will be made known to the client. They will become fully payable at the time of project acceptance.
The client will be asked to provided artwork sign off before being issued with an Invoice prior to print/artwork/publication. At this time the remainder of the fees due will become payable.
Licensing
Any service, feature, function, design, copywriting, drawing, idea or code provided to the customer by Urban Haze Ltd, or any of its contractors and suppliers, is licensed for use by you on a one-time only basis and may not be modified, re-used, or re-distributed in any way or form without the express written consent of Urban Haze Ltd and any of its relevant sub-contractors.
All work where there is a risk that another party may make a claim, should be registered by you with the appropriate authorities prior to publishing or first use or searches and legal advice sought as to its use. Urban Haze Ltd will not be held responsible for any and all damages resulting from such claims. Urban Haze Ltd is not responsible for any loss, or consequential loss, non-delivery of products or services, of whatever cause. You agree not to hold Urban Haze Ltd or its Partners responsible for any such loss or damage. Any claim against Urban Haze Ltd shall be limited to the relevant fee(s) paid by you.
Support & Third Party Service Providers
Urban Haze Ltd works with some third party service providers such as Google – these providers offer high quality and reliable services and products and we’ve deliberately chosen them of other service providers to ensure that your online business works as smoothly as possible.
Although sometimes problems do happen. Urban Haze Ltd will offer support for the software and services we provide.
If the fault lies in something we have installed or done, then we will repair the problem at no cost to you.
If the fault lies with a third party service provider, then we will liaise with them to resolve the any problems as quickly as possible – but, we cannot be held responsible for them or their actions. If work with the third party incurs a cost from them for some reason, we will notify you before incurring the cost, but that cost would be wholly passed on to you
However, if the fault lies in something that you or anyone else has done then we will let you know the cost to resolve the problem, but you would be liable for those costs – unless we have some other support service agreement in place
(In other words, if we or somebody we recommend breaks something, then we’ll fix it, but if you or somebody else breaks it, then we’ll still fix it, but we’d need you to pay for it!)
Errors and Omissions Excepted
General
These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. Urban Haze Ltd reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice.
Indemnification
We will do our very best to recommend and provide services that are suited to your unique business needs, based on what you’ve told us. However, we cannot be aware of every detail of how you actually use those services on an ongoing regular basis – nor what circumstances you could find yourselves in, in the future whilst using them.
You agree to indemnify, defend and hold harmless Urban Haze Ltd, our independent contractors, affiliates, agents, employees, partners and suppliers for any liability, loss, claim, demand and expense related to any service that we provide or recommend to you.
Entire Agreement
By agreeing to this, you also agree to the terms and conditions set out above.
